Moderating the Conference on "The criminal liability of company heads" organised by the Monaco Economic Board in partnership with the Monaco Association of Chartered Accountants

Erika BERNARDI, Partner, Patricia KEMAYOU MENGUE, Manager Associate, and Paul TOMATIS, Associate, had the pleasure of sharing their expertise in corporate law and criminal business law by leading a conference organised by the Monaco Economic Board (MEB) in partnership with the Ordre des Experts-Comptables de Monaco (Chartered Accountants) on the topic of:

"The criminal liability of company heads in light of the changes introduced by the law on the modernisation of companies and the texts AML/CFT-P"

Points covered:

  • Identification of the company head whose criminal liability may be called into question (legal head and new developments arising from Law No. 1.573 of 8 April 2025 on the modernisation of company law, de facto head)
  • The scope of the criminal liability of the company head (events giving rise to the criminal liability of the director as a natural person, relationship with the criminal liability of the legal entity)
  • Offences and penalties incurred by the company head (main offences under general and business criminal law, offences provided for by Law No. 1.573 on the modernisation of company law)
  • Anticipating the criminal liability of the company head (delegation of powers, implementation of a robust compliance system - focus on AML/CFT-P)

30 September 2025, the date of the Conference, marks the entry into force of all the provisions of Law No. 1.573 on the modernisation of company law, in accordance with the provisions of Sovereign Order No. 11.486 of 18 September 2025.
